Permitted by Pattern. Notwithstanding Section 6.1 but subject to Section 6.2, Section 6.5, Section 6.7 and Section 6.9, Pattern may, at any time and from time to time, Transfer all but not less than all Shares held by it upon prior notice to the Corporation and the other Shareholders but without first obtaining a Shareholder Approval: (a) to a Controlled Affiliate of Pattern provided that such Transfer complies with Section 6.4; and (b) to any other Person pursuant to, and in compliance with, Section 6.6.
