Permitted Conflicts. Each Remarketing Agent may in good faith hold Bonds or any other form of indebtedness issued by the Issuer or any security issued by the Borrower; own, accept or negotiate any drafts, bills of exchange, acceptances or obligations thereof; and make disbursements therefor and enter into any commercial or business arrangement therewith; all without any liability on the part of such Remarketing Agent for any real or apparent conflict of interest by reason of any such actions.
Permitted Conflicts. Permitted Conflicts. (i) Notwithstanding anything contained herein, Employee shall be authorized to continue to serve as Chairman of Retro Television, LLC and be an equity owner of the stock.
(ii) Notwithstanding anything contained herein, Employee shall continue to employ and supervise L▇▇▇ ▇. ▇▇▇▇▇▇▇ as Corporate Counsel and L▇▇▇▇▇▇ ▇▇▇▇▇▇▇ as Administrative Assistant in their current positions. Any new raises, other than normal cost of living raises, and any job promotions for these employees shall be approved by the Compensation Committee of the Board of Directors.
(iii) The parties acknowledge that prior to the merger certain other conflicts or potential conflicts of interest exist. Employee shall make reasonable best efforts to eliminate such conflicts as quickly as possible. If an existing action is subsequently deemed to be a conflict, Employee shall have a reasonable period of time to correct and/or eliminate the conflict.
