Common use of Permitted Transfer Procedures Clause in Contracts

Permitted Transfer Procedures. If any Stockholder wishes to transfer Shares to a Permitted Transferee or Partner Transferee under Section 2.2, such Stockholder shall give notice to the Company of its intention to make such a transfer not less than five (5) days prior to effecting such transfer, which notice shall state the name and address of each Permitted Transferee or Partner Transferee to whom such transfer is proposed, the relationship of such Permitted Transferee or Partner Transferee to such Stockholder, and the number of Shares proposed to be transferred to such Permitted Transferee or Partner Transferee.

If In the event that any Stockholder wishes to transfer Shares to a Permitted Transferee or Partner Transferee under pursuant to Section 2.2, such Stockholder shall give notice to the Company and the Principal Stockholder of its intention to make such a any transfer permitted under Section 2.2 not less than five (5) ten days prior to effecting such transfer, which notice shall state the name and address of each Permitted Transferee or Partner Transferee to whom such transfer is proposed, the relationship of such Permitted Transferee or Partner Transferee to such Stockholder, proposed and the number of Shares proposed to be transferred to such Permitted Transferee. Following any such notice, such transfer to such Permitted Transferee or Partner Transfereeshall be permitted hereunder, subject to compliance with Section 2.4.

If any Stockholder wishes to transfer Shares Common Stock to a Permitted Transferee or Partner Transferee under Section 2.2, such Stockholder shall give notice to the Company of its intention to make such a transfer not less than five twenty (520) days Business Days prior to effecting such transfer, which notice shall state the name and address of each Permitted Transferee or Partner Transferee to whom such transfer is proposed, the relationship of such Permitted Transferee or Partner Transferee to such Stockholder, Stockholder and the number of Shares shares of Common Stock proposed to be transferred to such Permitted Transferee or Partner Transferee.
