Permitted Transfer Procedures. If any New Stockholder wishes to transfer Shares to a Permitted Transferee under Section 2.2, such New Stockholder shall give notice to the Company of its intention to make such a transfer not less than five (5) Business Days prior to effecting such transfer (except in the case of a transfer to the estate of a deceased Stockholder, and such estate shall give such notice as soon as practicable after such transfer) which notice shall state the name and address of each Permitted Transferee to whom such transfer is proposed, the relationship of such Permitted Transferee to such Stockholder, and the number of Shares proposed to be transferred to such Permitted Transferee; provided that no such notice will be required for the Xxxx -------- Stockholders to pledge Shares on the Closing Date of the Xxxx Transactions in accordance with and subject to compliance on the Closing Date with the requirements of clause (iii) of the definition of "Permitted Transferee."
