Common use of Perpetual Software License Clause in Contracts

Perpetual Software License. If the applicable Order specifies Software licensed under a perpetual license, then subject to Customer’s compliance with this Agreement, including Customer’s timely payment of all applicable License Fees, Exasol grants to Customer a worldwide, perpetual, non-exclusive, non-transferable, non-sublicensable, limited license to install and use the Software, solely for Customer’s Internal Business Purposes, within the Licensed Capacity, and in a manner consistent with the applicable Documentation (“Perpetual Software License”). The Customer’s Perpetual Software License is limited to: (i) the then-current release of the Software as of the date of the Order; and (ii) subject to the Customer’s timely payment of the applicable Support Fees, any subsequent release of such Software issued by Exasol during the applicable Support Term.

If When the applicable Order specifies a Perpetual Software licensed under a perpetual licenseLicense, then subject to Customer’s compliance with this Agreement, including Customer’s timely payment of all applicable License Fees, Exasol grants to Customer a revocable, nonexclusive, worldwide, perpetualnontransferable, non-exclusivenonsublicensable, non-transferableright without limitation in time to use Exasuite on one or several, non-sublicensable, limited license dedicated servers („Cluster“) and to install use Exasol Clients and use Drivers within the Software, Licensed Capacity solely for Customer’s Internal Business Purposes, within the Licensed Capacity, and in a manner consistent with Purposes during the applicable Documentation (“Perpetual Software License”)Term. The Customer’s Perpetual right to use such Software License is limited to: (i) the then-current release of the Software as of the date of the Order; and (ii) subject to the Customer’s timely payment of the applicable Support Fees, any subsequent release of such Software issued by Exasol during the applicable Support Term.
