Common use of Person Deemed Certificateholder Clause in Contracts

Person Deemed Certificateholder. Prior to due presentation of a Certificate for registration of transfer, the Co-Owner Trustee, the Certificate Registrar (if different from the Co-Owner Trustee) and any agent of the Co-Owner Trustee or the Certificate Registrar may treat the Person in whose name any Certificate is registered as the holder of such Certificate for the purpose of receiving distributions pursuant to Section 5.2 and for all other purposes whatsoever, and neither the Owner Trustee, the Co-Owner Trustee, or the Certificate Registrar nor any agent of the Owner Trustee, the Co-Owner Trustee or the Certificate Registrar shall be affected by any notice to the contrary.
