Common use of Personal Property & Capital Equipment Clause in Contracts

Personal Property & Capital Equipment. The Disclosure Schedule sets forth a full and complete list of all personal property, including capital equipment, owned or leased by Seller. Except as set forth on the Disclosure Schedule, and except for property sold or otherwise disposed of in the ordinary course of business, Seller has good and marketable title, free and clear of any lien, charge, restriction or encumbrance, to all of such personal property. All material items of such personal property used in the operation of the business of Seller are in good operating condition, normal wear and tear accepted.
