To be entitled to vote at any meeting of Holders of Notes, the Noteholders a Person shall be (a) be a Holder of one or more Outstanding of the outstanding Notes or (b) be a Person appointed by an instrument in writing as proxy for by a Holder or Holders of one or more Outstanding Notes by such Holder or HoldersNotes. The only Persons who shall be entitled to be present or to speak at any meeting of Holders Noteholders shall be the Persons entitled to vote at such meeting and their counsel, counsel and any representatives of the Trustee and its counsel counsel, any representatives of the Issuer and its counsel, and any representatives of the Company Insurer and its counsel.

Persons Entitled to Vote at Meetings. To be entitled to vote at any meeting of Holders of Notes, the Securities a Person shall be (a) a Holder of one or more Outstanding Notes Securities, or (b) a Person appointed by an instrument in writing as proxy for a Holder or Holders of one or more Outstanding Notes Securities by such Holder or Holders. The only Persons who shall be entitled to be present or to speak at attend any meeting of Holders of Securities shall be the Persons entitled to vote at such meeting and their counsel, any representatives of the Trustee and its counsel and any representatives of the Company and its counsel.

Persons Entitled to Vote at Meetings. To be entitled to vote at any meeting of Holders of NotesHolders, a Person shall be (ai) a Holder of one or more Outstanding Notes then outstanding Notes, or (bii) a Person appointed by an instrument in writing as proxy for a Holder or Holders of one or more Outstanding then outstanding Notes by such Holder or Holders. The only Persons who shall be entitled to be present or to speak at any meeting of Holders shall be the Persons entitled to vote at such meeting and their counsel, any representatives of the Trustee and its counsel and any representatives of the Company and its counsel.

To be entitled to vote at any meeting of Holders of NotesDebentures, a Person shall be (a) be a Holder of one or more Outstanding Notes Debentures, or (b) be a Person person appointed by an a written instrument in writing as proxy for a Holder or Holders of one or more Outstanding Notes Debentures by such Holder or Holders. The only Persons who shall be entitled to be present or to speak at any meeting of Holders of Debentures shall be the Persons entitled to vote at such meeting and their counsel, counsel and any representatives of the Trustee and its counsel and any representatives of the Company and its counsel.
