Common use of PHYSICIAN'S REPRESENTATION Clause in Contracts

PHYSICIAN'S REPRESENTATION. Physician specifically acknowledges, represents, and warrants that (i) Physician's covenants set forth in this Agreement are being purchased in connection with the sale of the Stock to Purchaser, (ii) such covenants are reasonable and necessary to protect the legitimate interests of Purchaser, and (iii) Purchaser would not have entered into the Stock Purchase Agreement in the absence of such restrictions. Physician acknowledges that this Agreement is subject to all representations, warranties and covenants in the Stock Purchase Agreement.
