Common use of PINNACLE'S REPRESENTATIONS AND WARRANTIES Clause in Contracts

PINNACLE'S REPRESENTATIONS AND WARRANTIES. Pinnacle represents and warrants as follows: (a) the officers of Pinnacle have the full power and authority to enter into this Agreement; (b) there are not written or oral agreements by Pinnacle that will be breached by, or agreements in conflict with, Pinnacle's performance under this Agreement; and (c) where necessary, Pinnacle will be duly licensed and able to perform all of the duties under this Agreement at the effective date of this Agreement and shall comply with and abide by all laws, rules, regulations, and ordinances pertaining thereto.
