Place of Business; Records. The Company represents and warrants that its principal place of business and chief executive office is at the address set forth beneath its signature below, and that its books and records concerning the Collateral are kept at its principal place of business and chief executive office. The Company shall not change its principal place of business and chief executive office without 30 days' prior written notice to the Credit Agent and the Collateral Agent.
Place of Business; Records. Borrower's chief place of business is the address shown above and Borrower shall give Lender at least sixty (60) days prior written notice of any change.

The Company and each Borrowing Subsidiary represents and warrants that its principal place of business and chief executive office is at the address set forth beneath its signature below, and that its books and records concerning the Collateral are kept at its principal place of business and chief executive office. Neither the Company nor any Borrowing Subsidiary shall change its principal place of business and chief executive office without 30 days' prior written notice to the Credit Agent and the Collateral Agent.

Place of Business; Records. (a) The chief place of business of each Debtor is the address shown on EXHIBIT D attached to this Agreement. Each Debtor will immediately notify Secured Party in writing of any change in such Debtor's chief place of business.
(b) Each Debtor will (i) keep such books and records pertaining to the Collateral at such chief place of business, and at such office or offices of each Debtor as shall be approved in writing by Secured Party; (ii) xxxx its books and records in such fashion as to indicate the Security Interest granted hereby; (iii) permit officers, employees, or other representatives of Secured Party at all reasonable times to inspect the Collateral and inspect and make abstracts from the books and records of such Debtor pertaining to the Collateral; and (iv) furnish to Secured Party such reasonable information and reports regarding the Collateral as Secured Party may from time to time require.
(c) The Secured Party's right to take possession of any Debtor's books and records after the occurrence of and during an Event of Default shall be enforceable at law, by action of replevin or by any other appropriate remedy at law or in equity and, to the extent permitted by law, each Debtor consents to the entry of judicial orders or injunctions enforcing such rights without any notice to such Debtor or opportunity to be heard.

The Borrower represents and warrants that its chief place of business is at the address set forth beneath its signature below, and that its books and records concerning the Collateral are kept at its chief place of business in Cobb Xxxnty, Georgia and at the offices of PEC in Las Vegas, Nevada.
