Placement Agent or Finder. The Company shall be responsible for the payment of any fees or broker's commissions due to The Shemano Group, Inc. or any other party relating to or arising out of the transactions contemplated hereby as a result of any engagement or undertaking made by the Company with the persons claiming such fees or commissions, and shall pay, and hold the Buyer harmless against, any liability, loss or expense (including, without limitation, attorneys' fees and out of pocket expenses) arising in connection with any such engagement or undertaking by the Company.
