Plan and Defined Terms. The Award is granted under and subject to the terms of the American Medical Alert Corp. 2010 Equity Incentive Plan (the "Plan"), which is incorporated herein by this reference. Capitalized terms used herein and not defined in this Agreement (including Section 1 hereof) shall have the meanings set forth in the Plan. To the extent there is any conflict between the terms of this Agreement and the Plan, the terms of the Plan shall control.
