Plan Committee Approval. Neither the Plan Committee nor the Trustee shall have determined that the Merger is imprudent or that the Merger would result in a prohibited transaction under Section 406 of ERISA or Section 4975 of the Code or otherwise violate applicable Legal Requirements.
