Planned Maintenance. (a) Subject to any modification or amendment of this Agreement made pursuant to Section 4.2(c) or Section 7.3(d), Planned Maintenance occurring during the Delivery Term shall be coordinated and scheduled in accordance with this Section 9.6. Seller shall perform all Planned Maintenance (including Major Planned Maintenance) in a manner that optimizes the generation and benefits to Buyer of the Contract Energy, Storage Energy, and other Products (e.g., during off-peak periods and low-irradiance periods) and, without limiting the foregoing, either
(i) outside of Daylight Hours or (ii) during the months of October and November only, during Daylight Hours; provided, however, that the foregoing restrictions shall not apply to any Planned Maintenance that Seller is required to perform pursuant to any applicable manufacturer warranty that cannot reasonably be performed by Seller subject to such restrictions.
(b) Seller shall deliver to Buyer a proposed schedule for Planned Maintenance in respect of each Contract Year (“Planned Maintenance Schedule”) no later than ninety (90) Days before the start of such Contract Year. Planned Maintenance Schedules submitted by Seller shall
(i) comply with the second sentence of Section 9.6(a) and (ii) include reasonably detailed descriptions of the Planned Maintenance to be performed, the Days and times in which each type of Planned Maintenance is scheduled to be performed, the estimated amount(s) of Contract Capacity and Storage Capacity that will be unavailable due to Planned Maintenance and the total number of hours that Seller expects that the Contract Capacity and Storage Capacity will be unavailable due to Planned Maintenance. The general form for the Planned Maintenance Schedule is set forth in Schedule 9.6. (The Planned Maintenance descriptions reflected in the general form set forth in Schedule 9.6 are provided for indicative purposes only, and are not necessarily representative of the detail, time periods, or certainty required for a Planned Maintenance Schedule hereunder.)
(c) Buyer shall have the right to disapprove, in its reasonable discretion (provided that Buyer shall have the right to disapprove, in its sole and absolute discretion, any Planned Maintenance proposed by Seller that is inconsistent with the terms of this Agreement), any Planned Maintenance set out in any Planned Maintenance Schedule proposed by Seller for any Contract Year, except for any Planned Maintenance that (i) is scheduled to occur outside of ...
Planned Maintenance. 3.5.1 The Service Provider shall, without limitation to its obligations under Clause 3.2, plan its maintenance requirements including outage plans for the Providing Unit in accordance with Good Industry Practice.
Planned Maintenance. 5.1 Save for a Force Majeure Event or in the case of an emergency, where the Supplier considers (in its sole discretion) that it is necessary to carry out planned maintenance activities that will affect or can reasonably be expected to affect the Company’s operations, the Supplier shall notify the Company at least 48 hours in advance of the commencement of the planned maintenance detailing the nature of such maintenance to be carried out and the timetable for completion. Planned maintenance will be carried out in accordance with the Supplier’s standard procedures which are available upon request by the Company. In the case of an Event of Force Majeure or an emergency, no advance notice is required.
5.2 During the period of Planned maintenance as detailed in paragraph 5.1, the Response Times will not apply.
Planned Maintenance. EWE shall plan and schedule Planned Maintenance for the Service Period and notify the Storage Customer of the period for Planned Maintenance (subject to change). EWE shall preferably schedule Planned Maintenance for the time of the calendar months April to August, and shall endeavour to bundle the measures in such a manner that the an- nual measures do not exceed eight (8) Gas Days. The Storage Customer will be informed in due time, if measures should be planned.
Planned Maintenance. From time to time, GBG may need to schedule maintenance of the Service. GBG will always endeavour to conduct Planned Maintenance at a time that reduces the impact on the availability of the Service. So, where possible, Planned Maintenance will be conducted during low usage periods outside of Business Hours. If GBG needs to suspend the Service for Planned Maintenance (which GBG would only reasonably expect to be under exceptional circumstances) GBG undertake to give the Client as much advance notice as is practicable.
Planned Maintenance. If Planned Maintenance Service is included in the Agreement, then Philips will provide Customer a planned maintenance schedule for the Covered System. Philips will provide such planned maintenance during the service coverage hours at a mutually agreed upon time. Customer will make the Covered System available in accordance with this Exhibit. Philips will provide planned maintenance on the Covered System at scheduled intervals. Philips may perform Planned Maintenance activities at the Philips repair facility for certain Monitoring Analytics and Therapeutic Care equipment. If loaner equipment is included in the service agreement and provided to Customer, then Customer will execute a loaner agreement to document its responsibility for any loss or damage to such equipment while in Customer’s possession. All terms and conditions of the Agreement and this Exhibit will apply to the loaner equipment.
Planned Maintenance. Each Participating Generator shall, for informational purposes only, on an annual, quarterly and monthly basis in accordance with the ISO Protocol on Outage planning in relation to each of its Generating Units other than Reliability Must-Run Units (in respect of which the provisions of Section 2.3.3 shall apply) provide to the ISO details of its planned maintenance. Any such Participating Generator shall inform the ISO of any changes to its planned maintenance schedule effective during the period of one month ahead of real time with as much notice as reasonably practicable. If the Participating Generator wishes to make any change to its planned maintenance schedule which will be effective at less than seven (7) days notice, it shall not take the relevant Generating Unit out of service unless it has first obtained the ISO’s consent which may only be withheld for reasons of System Reliability or security. Each Participating Generator shall in relation to each of its Reliability Must-Run Units comply with the requirements of Section 2.3.3 for planning Maintenance Outages.
Planned Maintenance. 12.1. Both the Sellers and the Buyer shall notify the other at least 75 (Seventy-five) days in advance (except in case of emergency) in the event that they wish to carry out maintenance work on their respective facilities. Pursuant to such a notification, the Parties shall enter into good faith discussions to co-ordinate the timing of any maintenance work but neither Party shall incur any liability in respect of the timing and/or the carrying out of such maintenance work of the other Party.
Planned Maintenance. PTV plans periodic proactive maintenance (“Planned Maintenance”) on the servers. In av- erage, the interruption for a given PTV Cloud Service is likely to amount to one hour per week per regional cluster. PTV Cloud Service interruptions superior to one hour are usually notified 5 days in advance, barring emergencies which are handled immediately.
Planned Maintenance. The customer will be informed in advance about planned maintenance. During the maintenance period, the hosting service may temporarily be partly or completely out of order and therefore not available to the customer (priority level 1: interruption of the service). A message on planned maintenance will contain the following information and will be sent at least two weeks before the maintenance commences: time span in which the planned maintenance will take place; expected actual duration of the planned maintenance; services which will be influenced by the planned maintenance; priority score. Planned maintenance is not included within the availability calculations, unless the maintenance exceeds the planned time span, resulting in the hosting service being unavailable for the customer.
