Pledgor Statements and Guarantee. 5.1. Pledgor is the sole legal owner of the pledged shares. 5.2. Pledgee has the right to dispose or transfer the pledged shares in accordance with this Agreement. 5.3. There are no liens, mortgages, encumbrance or the like, against the pledged shares, except for the pledge stated herein.
