PMGI Perfection Certificate. Within 90 days after the Closing Date, a completed perfection certificate dated the Closing Date and signed by an Authorized Officer of PMGI and each Subordinated Guarantor, together with all attachments contemplated thereby, such perfection certificate and attachments to be in form and substance satisfactory to the Required Holders.
