Poll and Voting. 11.7.1 On every Extraordinary Resolution, and on any other question submitted to a meeting and after a vote by show of hands when demanded by the chairman or by one or more of the Registered Special Warrantholders acting in person or by proxy and entitled to acquire in the aggregate at least 5% of the aggregate number of Underlying Securities which could be acquired pursuant to all the Special Warrants then outstanding, a poll shall be taken in such manner as the chairman shall direct. A proxy need not be a Registered Special Warrantholder. The chairman of any meeting shall be entitled, both on a show of hands and on a poll, to vote in respect of the Special Warrants, if any, held or represented by him.
