Portfolio Company Securities. By executing this Subscription Agreement, Subscriber acknowledges that it understands that: i. the Company has not independently done due diligence on the Portfolio Company or the Portfolio Company Securities. It is the responsibility of the Subscriber to perform their own due diligence on both the Portfolio Company and the Portfolio Company Securities.

Portfolio Company Securities. By executing this Subscription Agreement, Subscriber acknowledges that it understands that: i. the Company has not independently done due diligence on the Portfolio Companies or the Portfolio Company Securities. It is the responsibility of the Subscriber to perform their own due diligence on both the Portfolio Company and the Portfolio Company Securities. ii. The Company intends to purchase the Portfolio Company Securities from its affiliate at a price that is approximately 63% greater from the price (including transaction fees) such company bought the Portfolio Company Securities. The percentage may change to the extent the Company purchases additional Portfolio Company Securities or the allocation of the Portfolio Company Securities between the Portfolio Companies. The Company’s current agreements with its affiliate are described in Section 3(k) of the Disclosure Schedule for further details. No representation is made by the Company about the value of the Portfolio Company Securities. The Portfolio Company Securities may not be registered in the name of the Company at the initial Closing and may remain in the name of the affiliate until after the affiliate has secured the sale of all the shares of the Portfolio Company that it currently owns. However, during this period, the affiliate will assign to the Company and/or the Master LLC, as applicable, all of its rights and benefits associated with the associated shares of the Portfolio Company. iii. The allocation of the amount of Portfolio Company Securities for each Portfolio Company may change, including the Company may not end up purchasing any securities from a particular Portfolio Company.
