Position of Jain. Versant agrees that, effective upon the Effective Time, Jain will be appointed to act as the President or the President of Versant’s Real-Time Computing Business Unit. Nothing in the preceding sentence will be construed to, nor will, prevent or preclude Versant (or any subsidiary or affiliate of Versant) from at any time changing Jain’s titles, duties or responsibilities as an employee of Versant or any subsidiary or affiliate of Versant, or from termination Jain’s employment with Versant or any subsidiary or affiliate of Versant.

The Investment Adviser shall make reports to the Board of Directors of its performance of obligations hereunder and furnish advice and recommendations with respect to such other aspects of the business and affairs of the Fund as it shall determine to be desirable.
