Common use of Position of Special Trust and Confidence Clause in Contracts

Position of Special Trust and Confidence. 1.1 The Company is placing the Participant in a special position of trust and confidence. As a result of this Agreement and the Participant’s position with the Company, the Participant will receive Confidential Information (defined below) related to his position, authorization to communicate and develop goodwill with Company customers, and/or specialized training related to the Company’s business. The Participant agrees to use these advantages of employment to further the business of the Company and, subject to SECTION 3.1 and any other legal requirement, not to knowingly cause harm to the business of the Company. The Company’s agreement to provide the Participant with these benefits, and the Award hereunder, gives rise to an interest in reasonable restrictions on the Participant’s competitive and post-employment conduct.
