Possession of Material, Non-Public Information. To the extent that any of the information furnished by the Company or BSTI to the Buyers hereof would constitute material, nonpublic information for purposes of the Exchange Act, Buyers agree not to engage in any purchase or sale of securities while in possession of such information and prior to the time that such information is made generally known to the public and Buyers agree to use due care to prevent their officers, directors, partners, employees, counsel and other representatives, who have been given access to such material, nonpublic information, from engaging in any such purchase or sale during such period.
