Common use of Possessory Collateral Clause in Contracts

Possessory Collateral. On the Closing Date, all possessory collateral required to be delivered to the Collateral Agent under the Security Documents shall have been duly delivered (or shall otherwise be provided to the reasonable satisfaction of the Initial Purchasers), together with undated proper instruments of assignments duly executed by the applicable Grantor in blank and such other instruments or documents as the Initial Purchasers may reasonably request, except as otherwise permitted or contemplated under the ABL Intercreditor Agreement, the Pari Passu Intercreditor Agreement or any other Security Document, as applicable.

Possessory Collateral. On the Closing Date, all possessory collateral Pledged Collateral (as defined in the Guarantee and Collateral Agreement) required to be delivered to the Collateral Agent under the Security Documents shall have been duly delivered (or shall otherwise be provided to the reasonable satisfaction of the Initial Purchasers)delivered, together with undated proper instruments of assignments duly executed by the applicable Grantor in blank and such other instruments or documents as the Initial Purchasers Representative may reasonably request, except as otherwise permitted or contemplated under the ABL Intercreditor Agreement, the Pari Passu Intercreditor Agreement or any other Security Document, as applicable.
