Post-Closing Structuring Clause Samples
Post-Closing Structuring. Immediately following the Closing, Newco shall cause the actions set forth on Section 1.3 of the JBG Disclosure Letter that are contemplated to be taken after Closing (the “Post-Closing Transactions”) to be implemented as set forth therein. The Parties will reasonably agree to modify the Post-Closing Transactions as requested by either Party so long as such modifications do not adversely affect the non- requesting Party in any material respect.
Post-Closing Structuring. Immediately following the Closing, Giants shall cause the actions set forth on Section 5.10 of the Jaguar Disclosure Letter that are contemplated to be taken after Closing to be implemented as set forth therein.
