Post Effective Amendments and Prospectus Filings. All filings pursuant to Rules 424, 430A, 430B (including the information previously omitted from the Registration Statement pursuant to Rule 430B under the Act) or 430C of the Rules and Regulations, as applicable, shall have been made by the Company prior to the Closing Date in accordance with all such applicable rules.
