Common use of Post-Exchange Listing Clause in Contracts

Post-Exchange Listing. Following an Exchange Listing, the Post-Exchange Listing Management Fees shall be an amount equal to 1.50% per annum of the average value of the Fund’s total assets at the end of the two most recently completed calendar quarters; provided, however, the Post-Exchange Listing Management Fees shall be calculated at an annual rate of 1.00% of the average value of the Fund’s total assets at the end of the two most recently completed calendar quarters that exceeds the product of (i) 200% and (ii) the value of the Fund’s total net assets at the end of the immediately preceding calendar quarter. The Management Fees will be appropriately adjusted for any stub period.
