Post-Petition Obligations Clause Samples
Post-Petition Obligations. The definition of “Post-Petition Obligations” set forth in the Loan Agreement is hereby amended by deleting such Section in its entirety and replacing it with the following:
Post-Petition Obligations. The Borrower has paid all professional fees and expenses related to the Bankruptcy Cases and all other material liabilities incurred by the Borrower or the estate in the Bankruptcy Cases at any time which are required to be paid.
Post-Petition Obligations. The Post-Petition ------------------------- Obligations (other than indemnification obligations for which no claim has been asserted) shall have been Paid in Full with the proceeds of the initial Loans on the Facility Effective Date.
Post-Petition Obligations. Neither the Subordinated Lien Agents nor any Subordinated Lien Claimholder shall oppose or seek to challenge any claim by the Prior Lien Agent or any Prior Lien Claimholder for allowance in any Insolvency or Liquidation Proceeding of Prior Lien Obligations consisting of Post-Petition Obligations to the extent of the value of any Prior Lien Claimholder’s Lien on Prior Lien Collateral, without regard to the existence of the Lien of the Subordinated Lien Agent on behalf of the Subordinated Lien Claimholders on such Collateral.
