Post-Production Services. Subject to the parties negotiating a mutually agreeable support services agreement, KMC shall provide post-production services in support of the Instruments. These services may include, without limitation: procurement and production of spare parts and/or sub-assemblies, management of spare parts/sub-assembly inventory (including shipments to field service sites), development of test equipment and procedures for testing of spare parts/sub-assemblies and/or post-warranty repair and refurbishment services. The parties shall negotiate a separate support services agreement to cover any such support services.

Post-Production Services. In addition to Full Service packages, you may choose to have Company perform post-production services for you. These services include: - Audio editing & minor sound engineering - Writing SEO friendly show notes, including links - Mixing, editing, rendering, and publishing of each of your podcast episodes, including (1) a teaser; (2) bumpers (your pre-recorded intro and outro); (3) editing out filler words (to keep each episode sounding more natural and conversational, we leave upto 2 filler words within 3 sentences); (4) cleanup of problematic segments; and (5) pre-recorded ads for you and your paying sponsors. - Creating promotional assets including (1) a quotecard; (2) audiogram or videogram; and (3) a thumbnail promo image for each episode - Emailing promo images as well as shareable podcast links to your guests so they can promote you. - Publishing complete audio to iTunes, as well as many other syndicated media channels. - Creating and publishing one post on up to three of: (a) social media channels (such as facebook, instagram, or linkedin); (b) blogs; or (c) websites. i. Post-production Services: $175/episode (recommend no less than 1 episode per week). Note: if multiple episodes per week are published then the following discounted prices will be applied:
Post-Production Services. Ivory + Rose Photography has a natural post-production editing style and does not alter images to look unrealistic. Ivory + Xxxx Photography’s natural editing style includes, but is not limited to; colour correction, tone, contrast, adjusting crops, sharpening. The post-production edit does not include major re-touching or alterations to images (i.e. body shape manipulation, body alterations, removal of guests or elements of an image, fake tan or tan lines.) Advanced retouching is not included, however can be quoted separately to THE CLIENT on request. For any work completed after images have been delivered to THE CLIENT, THE CLIENT will be charged at $200.00 per hour. If THE CLIENT seeks major editing adjustments, Ivory + Xxxx Photography will recommend a professional editor to fulfill these requests at THE CLIENTS expense .
Post-Production Services. Contractor agrees to perform post production services for the documentary film, including editing, creation and rendering of effects, digital compositing, sound effects, sound mix, color correction and mastering and deliverable outputs of the finished documentary, all of which is described in more detail, along with Contractor's rates, in Exhibit A attached hereto and made a part hereof (the “Services”). Music will be provided by Customer in a “ready to mix” format. Any variances, including added work or overages, will be mutually agreed upon between the parties, before such work is undertaken.

Post-Production Services. The Lender shall cause the Employee to render such customary services (including, without limitation, looping, added scenes and retakes) in connection with the post-production of the Picture as may be required by the Producer, subject to the Employee's prior conflicting professional commitments. Notwithstanding anything to the contrary contained in this Agreement, the Guaranteed Compensation specified in Paragraph 4(a) hereof shall also constitute full and complete consideration to the Lender for the first two (2) days (consecutive or non-consecutive) of such post-production services, and the Producer shall pay the Lender the Weekly Compensation set forth in subparagraph (b) above for each additional week of post-production services which the Producer may require hereunder beyond the Minimum Employment Period and the two (2) additional days described in this paragraph, prorated as hereinafter provided.

  • Manufacturing Services Patheon will perform the Manufacturing Services for Products to be distributed and sold by Client in the Territory for the fees specified in Schedules B and C to the relevant Product Agreement. But this obligation (if any) will cease to apply to Client with respect to the Product if Patheon fails to remain in material compliance with its obligations under this Agreement or the applicable Product Agreement, or Patheon suspends performance under this Agreement or the applicable Product Agreement in connection with a Force Majeure Event or where Patheon is or will be prevented from supplying the Product as a result of the action of a Regulatory Authority. Subject to its obligation (if any) to purchase the Required Percentage of a Product during the Required Period, Client may, at any time, obtain Product from a third party or may, at any time, qualify a third party to perform Manufacturing Services for the Product. In performing the Manufacturing Services, Patheon and Client agree that:

  • Distribution Services 3.1. Distributor will have the right, as agent for the Fund, to enter into dealer agreements with responsible investment dealers, and to sell Shares to such investment dealers against orders therefor at the public offering price (as defined below) stated in the Fund’s effective Registration Statement on Form N-2 under the 1940 Act and the Securities Act of 1933, as amended (the “Securities Act”), including the then-current prospectus and statement of additional information (the “Registration Statement”). Upon receipt of an order to purchase Shares from a dealer with whom Distributor has a dealer agreement, Distributor will promptly cause such order to be filled by the Fund. 3.2. Distributor will also have the right, as agent for the Fund, to sell such Shares to the public against orders therefor at the public offering price (as defined below) and in accordance with the Registration Statement. 3.3. Distributor will also have the right to take, as agent for the Fund, all actions which, in Distributor’s reasonable judgment, are necessary to carry into effect the distribution of the Shares. 3.4. The “public offering price” for the Shares of the Fund shall be the net asset value (“NAV”) of the Shares then in effect, plus any applicable sales charge determined in the manner set forth in the Registration Statement or as permitted by the 1940 Act and the rules and regulations promulgated by the SEC or other applicable regulatory agency or self-regulatory organization under the oversight of the SEC. In no event shall any applicable sales charge exceed the maximum sales charge permitted by the Rules of FINRA. 3.5. The NAV of the Shares of the Fund shall be determined in the manner provided in the Registration Statement, and when determined shall be applicable to transactions as provided for in the Registration Statement. The NAV of the Shares shall be calculated by the Fund or by another entity on behalf of the Fund. Distributor shall have no duty to inquire into or liability for the accuracy of the NAV per Share as calculated. 3.6. On every sale, the Fund shall receive the applicable NAV of the Shares promptly, but in no event later than the third business day following the date on which Distributor shall have received an order for the purchase of the Shares. 3.7. Upon receipt of purchase instructions, Distributor will transmit such instructions to the Fund or its transfer agent for the issuance and registration of the Shares purchased. 3.8. Distributor, as agent of and for the account of the Fund, may repurchase the Shares at such prices and upon such terms and conditions as shall be specified in the Registration Statement. 3.9. Distributor shall maintain membership with the National Securities Clearing Corporation (“NSCC”) and any other similar successor organization to sponsor a participant number for the Fund so as to enable the Shares to be traded through FundSERV. The Distributor shall not be responsible for any operational matters associated with FundSERV or networking transactions. 3.10. Distributor will review all proposed advertising materials and sales literature for compliance with Applicable Law and shall file such materials with appropriate regulators as required by current laws and regulations. Distributor agrees to furnish the Fund with any comments provided by regulators with respect to such materials. 3.11. Distributor shall prepare or cause to be prepared reports for the Board of Trustees (the “Board”) of the Fund regarding its activities under this Agreement as reasonably requested by the Board.

  • Interconnection Customer Provided Services The services provided by Interconnection Customer under this LGIA are set forth in Article 9.6 and Article 13.5. 1. Interconnection Customer shall be paid for such services in accordance with Article 11.6.

  • Implementation Services Vendor shall provide the Implementation Services, if any, described in Exhibit A. The Services Fees for any Implementation Services shall be described in Exhibit A.

  • Preconstruction Services During the Design & Preconstruction Phase, the Design-Builder shall provide such design and preconstruction services as are necessary to properly advance the Project. Without limiting the generality of the foregoing, during the Preconstruction Phase, the Design-Builder shall: (i) work with its Architect and any design consultants to advance the design for the Project in consultation with Client Agency, the Department and its Program Manager; (ii) obtain bids from trade subcontractors to perform the work described in the Design Development Documents and provide bid tabulations to the Department; (iii) engage in any value engineering and scoping exercises necessary to return the cost of the work to the Project Budget; (iv) engage in preconstruction activities, including identifying any long-lead items; (v) develop a GMP proposal for the Project; and (vi) enter into a GMP for the Project. Throughout the Design & Preconstruction Phase, the Design-Builder shall schedule and attend regular meetings with the Department, the Program Manager and the Architect. A list of preconstruction deliverables is set forth in Exhibit C.
