Post-Termination Board Activities. Upon termination of Employee’s employment for any reason (other than as a result of death), Employee may continue to serve as Employer’s designee (and Employer will take all action necessary to continue such designation or appointment) on the board of directors of any member of the PTC Group (as defined on Annex A) until the fifth anniversary of the Termination Date; provided that in such event, Employee shall vote only as directed by the Employer.
