Each party will promptly notify the other party of the occurrence of any event, or the existence of any fact, of which such party becomes aware that is not permitted by this Agreement and that results in the inaccuracy in any material respect of any representation or warranty of such party in this Agreement as of any time prior to the Closing, and such party will use its reasonable best efforts to cure such matter.
