Common use of Power and Authority of the Company Clause in Contracts

Power and Authority of the Company. The Company represents and warrants that it has full power and authority to enter into this Agreement and that the person signing this Agreement on behalf of the Company has been duly authorized and empowered by the Board of Directors of the Company to effect that execution. No approval or consent of any third party is required on behalf of the Company to make this Agreement the valid and binding obligation of the Company enforceable against the Company in accordance with its terms.
