The Company has been duly organized and is validly existing and in good standing under the laws of the State of Delaware, with full power and authority to conduct business as described in the Memorandum. Complete and correct copies of the Certificate of Incorporation and the Bylaws of the Company and all amendments thereto are available upon request, and no changes therein will be made subsequent to the date hereof and prior to the Final Closing Date.
