Power; Authority. Seller has the full power and authority to (a) own and/or hold under lease its assets and properties, (b) carry on its business as currently conducted and as proposed to be conducted, and (c) execute and deliver this Agreement and the other Acquisition Documents, to perform its obligations hereunder and thereunder, and to consummate the transactions contemplated hereby and thereby.
