Power of Attorney: Ratification. The Company ratifies and confirms and agrees to ratify and confirm all acts and things which any attorney mentioned in this Clause shall do or purport to do in exercise of the powers granted by this Clause save where such attorney is acting with wilful misconduct or gross negligence as determined by a court of competent jurisdiction in a final and non-appealable judgment.
