Power of Company Shareholders to Execute Agreement. The Company Shareholders have all requisite power and authority to enter into this Agreement and to consummate the transactions contemplated by this Agreement, and this Agreement is the legal binding obligation of the Company Shareholders and is enforceable against the Company Shareholders in accordance with its terms, except that (i) such enforcement may be subject to bankruptcy, insolvency, reorganization, moratorium, or other similar laws now or hereafter in effect relating to creditors’ rights, and (ii) the remedy of specific performance and injunctive and other forms of equitable relief may be subject to equitable defenses and to the discretion of the court before which any proceeding therefore may be brought. The execution and delivery of this Agreement by the Company Shareholders and the consummation by the Company of the transactions contemplated hereby have been (or at Closing will have been) duly authorized by all necessary action on the part of the Company Shareholders.
