Power to Enter into Agreement. Buyer is a corporation duly organized, validly existing and in good standing under the laws of the State of Delaware. Buyer has the corporate power and authority to execute and deliver this Agreement and each other document to be executed and delivered by it under this Agreement, to perform its obligations under such documents and to consummate the Transactions to which it is a party.
Power to Enter into Agreement. Pledgor has all requisite ----------------------------- corporate power and authority to enter into this Pledge Agreement.

This Agreement has been duly executed and delivered by and on behalf of Nycomed and constitutes legal, valid and binding obligations enforceable against Nycomed in accordance with its terms.

It has the legal right and power to enter into this Agreement and to consummate the transactions contemplated hereby on and subject to the terms and conditions of this Agreement, and the execution, delivery and performance of this Agreement by it has been duly and validly authorised and this Agreement is a valid and binding agreement enforceable in accordance with its terms.
Power to Enter into Agreement. Partner has taken all necessary actions on its part to authorize the execution, delivery and performance of the obligations undertaken in this Agreement. This Agreement has been duly executed and delivered by and on behalf of Partner and constitutes legal, valid and binding obligations enforceable against Partner in accordance with its terms.
Power to Enter into Agreement. The Consultant represents and warrants that it is free to enter into this Agreement and that its performance of services under this Agreement will not result in a breach of, or constitute a default under, any agreement or understanding to which the Consultant is a party or by which it may be bound.

Inventor hereby represents and warrants that Inventor has full power to enter into this Agreement and that Inventor's power to enter into this Agreement is not impaired in any way by any duties or obligations assumed by Inventor prior to the Effective Date and still existing as of the Effective Date.
