Common use of Powers and authority Clause in Contracts

Powers and authority. It has the power: (a) to enter into and comply with all obligations expressed on its part under the Finance Documents; and (b) (in the case of a Borrower) to borrow under this Agreement; and (c) (in the case of a Guarantor) to give the guarantee in Clause 14 (Guarantee), and has taken all necessary actions to authorise the execution, delivery and performance of the Finance Documents to which it is a party.

Powers and authority. It has the powerpower to: (a) to enter into and comply with with, all obligations expressed on its part under the Finance Documents; and; (b) (in the case of a Borrower) to borrow under this Agreement; and (c) (in the case of a Guarantor) to give the guarantee in Clause 14 (Guarantee), and has taken all necessary actions to authorise the execution, delivery and performance of the Finance Documents to which it is a partyDocuments.

Powers and authority. (a) It has the power: (a) power to enter into into, perform and comply with all obligations expressed on its part under deliver the Finance Documents to which it is or will be a party and the transactions contemplated by those Finance Documents; and. (b) (in the case of a Borrower) to borrow under this Agreement; and (c) (in the case of a Guarantor) to give the guarantee in Clause 14 (Guarantee), and It has taken all necessary actions action to authorise the executionits entry into, performance of and delivery and performance of the Finance Documents to which it is or will be a partyparty and the transactions contemplated by those Finance Documents (including, without limitation, in respect of each Issue Date on which Bonds are issued in the case of the Issuer, to create and issue such Bonds).

It has the power: (a) to enter into and comply with all obligations expressed on its part under the Finance Documents; and (b) (in the case of a Borrower) to borrow under this Agreement; and (c) (in the case of a Guarantor) to give the guarantee in Clause 14 15 (GuaranteeGuarantee and Indemnity), and has taken all necessary actions to authorise the execution, delivery and performance of the Finance Documents to which it is or will be a partyparty and the transactions contemplated by those Finance Documents.

Powers and authority. It has the power: (a) to enter into and comply with all obligations expressed on its part under the Finance Documents; and (b) (in the case of a Borrower) to borrow under this Agreement; and (c) (in the case of a Guarantor) to give the guarantee in Clause 14 21 (Guarantee), and has taken all necessary actions to authorise the execution, delivery and performance of the Finance Documents to which it is a party.

Powers and authority. It has the power: (a) to enter into and comply with all obligations expressed on its part under the Finance Documents; and (b) (in the case of a Borrower) to borrow under this Agreement; and (c) (in the case of a Guarantor) to give the guarantee in Clause 14 30 (GuaranteeGuarantee and Indemnity), and has taken all necessary actions to authorise the execution, delivery and performance of the Finance Documents to which it is a party.

Powers and authority. It has the power: power and capacity to (ai) execute, deliver and exercise its rights and perform its obligations under each Finance Document to enter into and comply with all obligations expressed on its part under which it is a party; (ii) carry out the Finance Documents; and (b) (in the case of a Borrower) to borrow under this Agreement; and (c) (in the case of a Guarantor) to give the guarantee in Clause 14 (Guarantee), transactions contemplated by those documents and has taken all necessary actions corporate, shareholder and other action to authorise the execution, delivery and performance of those documents and transactions; and (iii) make each of the Finance Documents to which it is a partyparty admissible in evidence in the courts of the jurisdiction to which it has submitted in such Finance Document.

Powers and authority. It has the power: power to (ai) to enter into execute, deliver and comply with all exercise its rights and perform its obligations expressed on its part under the Finance DocumentsDocuments to which it is a party; and (bii) (in carry out the case of a Borrower) to borrow under this Agreement; and (c) (in transactions contemplated by the case of a Guarantor) to give the guarantee in Clause 14 (Guarantee), Finance Documents and has taken all necessary actions corporate, shareholder and other action to authorise the execution, delivery and performance of those documents and transactions; and (iii) make each of the Finance Documents to which it is a partyparty admissible in evidence in the courts of the jurisdiction to which it has submitted in such Finance Document.

It has the power: (a) to enter into and comply with all obligations expressed on its part under the Finance Documents; andDocuments to which it is expressed to be a party; (b) (in the case of a Borrower) to borrow under this Agreement; and (c) (in the case of a Guarantor) to give the guarantee in Clause 14 25 (GuaranteeGuarantee and Indemnity), and has taken all necessary actions to authorise the execution, delivery and performance of the Finance Documents to which it is a party.
