Common use of Powers of the Board of Directors Clause in Contracts

Powers of the Board of Directors. Except as otherwise provided hereunder, the business and affairs of the Company shall be managed by the Board of Directors (such directors having all of the rights and powers which are possessed by a manager, and shall each be deemed to be a manager, under the Act pursuant to Section 18-402 of the Act). Any decision or act of the Board of Directors within the scope of its power and authority granted hereunder shall control and shall bind the Company.
