Powers of the General Meeting of Shareholders. The following powers shall be vested exclusively in the General Meeting of Shareholders: (a) The adoption and amendment of these Articles of Association; (b) the election of the members of the Board of Directors and the Auditor; (c) the approval of the Annual Report and the Consolidated Financial Statements;
