PRACTICE EXPENSES AND ALLOCATED EXPENSES. All Practice Expenses (as defined in Attachment I hereto), including the compensation of Practice Providers, shall be the sole responsibility of Practice and shall be paid by the Practice out of its first available Practice Revenues. Allocated Expenses (as defined in ATTACHMENT I hereto) incurred by AmeriPath in the course of the performance of its duties under this Agreement on behalf of or as agent for the Practice shall be paid to AmeriPath. Allocated Expenses may include an allocable portion of reasonable corporate overhead of AmeriPath. Allocated Expenses shall be billed to the Practice at their actual cost to AmeriPath. An operating budget for Practice Expenses and Allocated Expenses shall be reviewed at least annually and shall be set forth in the Operating Plan.
