Covenants and other Agreements of the Company and the Underwriters (a) The Company covenants and agrees as follows:
Other Covenants of the Parties The parties agree that, prior to the Closing:
Covenants and Other Agreements Purchaser shall have performed its covenants and agreements herein on or prior to the Closing Date in all material respects.
Financial and Other Covenants Borrower shall at all times comply with the financial and other covenants set forth in the Schedule.

Waiver of Presentment and Other Conditions Each Canadian Borrower waives presentment for payment and any other defense to payment of any amounts due to the Canadian Lender in respect of a Bankers’ Acceptance accepted by it pursuant to this Agreement which might exist solely by reason of the Bankers’ Acceptance being held, at the maturity thereof, by the Canadian Lender in its own right and each Canadian Borrower agrees not to claim any days of grace if the Canadian Lenders as holder sues each Canadian Borrower on the Bankers’ Acceptance for payment of the amount payable by such Canadian Borrower thereunder.
Purchaser Covenants Purchaser shall have performed and complied in all material respects with all agreements and covenants required to be performed and complied with by Purchaser under this Agreement at or prior to the Closing Date; and
PRE-CLOSING COVENANTS The Parties agree as follows with respect to the period between the execution of this Agreement and the Closing.
Further Covenants of the Company The Company hereby covenants and agrees that:
