PRE CLOSING DATE COVENANTS. Consent to Citadel Communications and its Subsidiaries taking any of the actions described in Section 5.1 of the Merger Agreement as in effect on the date hereof which requires the consent of HoldCo, if the taking of such action would reasonably be expected to have a Company Material Adverse Effect (as defined in the Merger Agreement).
PRE CLOSING DATE COVENANTS. During the Certain Funds Period and immediately prior to the Closing Date, except as described in the Structure Memorandum, New HoldCo and the Lux Borrower and their Subsidiaries shall not take any actions , incur any liabilities or acquire any assets other than those arising in connection with, or related or incidental to, the Transaction (including any actions contemplated pursuant to this Agreement) and any activities required by the City Code or the Panel.
