PRE-COMMENCEMENT DATE SERVICES FEE. Manager shall be reimbursed for all of Manager's out-of pocket expenses (including, without limitation, attorneys' fees, professional services) incurred in connection with any services rendered or tasks performed by Manager with respect to the Facility prior to the Commencement Date, and in addition Manager shall receive a fee in the amount of Five Thousand and No/Hundredths Dollars ($5,000) with respect to such pre- Commencement Date services. Such reimbursement and fee shall be paid to Manager at the same time as the first Base Management Fee payment, as defined in Subparagraph 9.3(a), below.
