Preconditions for Closing. Article 8.1 (Preconditions for Sellers’ Obligations) The obligations of the Sellers with respect to Section 2.3.1 shall be subject to the satisfaction of all of the following conditions on the Closing Date. However, the Sellers may, at their discretion, waive all or any of such conditions.
