Predecessor Organization Sample Clauses
The Predecessor Organization clause defines and identifies any prior entity or entities whose operations, assets, or liabilities have been assumed or continued by the current organization. In practice, this clause clarifies the relationship between the current party and any former organizations, often specifying which obligations, contracts, or liabilities are inherited. Its core function is to ensure transparency regarding the continuity of business operations and to allocate responsibility for past actions or commitments, thereby preventing disputes over legacy issues.
Predecessor Organization. An employer that previously employed the employees acquired by the current Employer. The determination of whether a prior employer is a “predecessor organization” shall be determined in accordance with Code Section 414. The Employer may grant optional crediting of predecessor service pursuant to Code Section 414(a)(2) and the Regulations issued thereunder.
