The Company Shareholder either (i) does not own or otherwise have any statutory or contractual preemptive or other right of any kind (including any right of first offer or refusal) to acquire any Company Shares, or (ii) hereby irrevocably waives each right of that type the Company Shareholder does own or otherwise has.
