Common use of Preferential Rights and Consents Clause in Contracts

Preferential Rights and Consents. None of (i) the issuance of the Units by the Trust and sale of the Units by the Partnership as described in the Registration Statement, the most recent Preliminary Prospectus and the Prospectus, (ii) the execution, delivery and performance of this Agreement and the Operative Agreements by the Trust and the Partnership and (iii) the consummation by the Trust and the Partnership of the Transactions or any other transactions contemplated by this Agreement or the Operative Agreements is subject to any third party preferential purchase rights, rights of first refusal, or similar rights with respect to the Subject Interests.

None of (i) the issuance of the Units by the Trust and sale of the Units by the Partnership and the Selling Unitholders as described in the Registration Statement, the most recent Preliminary Prospectus Pricing Disclosure Package and the Prospectus, (ii) the execution, delivery and performance of this Agreement and the Operative Agreements by the Trust and the Partnership and (iii) the consummation by the Trust and the Partnership of the Transactions or any other transactions contemplated by this Agreement or the Operative Agreements is subject to any third party preferential purchase rights, rights of first refusal, or similar rights with respect to the Subject Interests.
