Common use of Preliminary Approval Clause in Contracts

Preliminary Approval. Promptly after execution of this Settlement Agreement, Class Counsel shall submit this Settlement Agreement to the Court and shall move the Court to enter a Preliminary Approval Order, which shall include, among other provisions, a request that the Court: a. Appoint Plaintiff as Class Representative of the Settlement Class; b. Appoint Class Counsel to represent the Settlement Class; c. Certify the Settlement Class under 735 ILCS 5/2-801 et seq., for settlement purposes only; d. Preliminarily approve this Settlement Agreement for purposes of disseminating Notice to the Settlement Class; e. Approve the form and contents of the Notice and the method of its dissemination to members of the Settlement Class; and f. Schedule a Final Approval Hearing to review any comments and/or objections regarding this Settlement Agreement, to consider its fairness, reasonableness and adequacy, to consider the application for a Fee Award and incentive award to the Class Representative, and to consider whether the Court shall enter a Final Approval Order approving this Settlement Agreement and dismissing the Action with prejudice.

Schedule a Final Approval Hearing to review any comments and/or objections regarding this Settlement Agreement, to consider its fairness, reasonableness and adequacy, to consider the application for a Fee Award and incentive award Service Award to the Class Representative, and to consider whether the State Court shall enter issue a Final Approval Order approving this Settlement Agreement and dismissing the State Court Action with prejudice.
