PRELIMINARY MEETINGS AND EXERCISE OF VOTING RIGHT. 5.1 Except for resolutions relating to the election of members of the board of directors, in relation to which the provisions of Clause IV above shall apply, each of the Shareholders shall exercise its voting right in the shareholders' meetings of the Company as well as have its representatives on the board of directors of the Company and each of the Subsidiaries exercise their voting rights in the respective corporate bodies, always jointly with the other Shareholder (or, as the case may be, the representatives of the other Shareholder) and in accordance with the provisions of this Clause V.
