Common use of Preliminary Qualification Prospectus Clause in Contracts

Preliminary Qualification Prospectus. The Corporation covenants with the Agents that: (i) the Corporation shall use commercially reasonable efforts to file the Preliminary Qualification Prospectus, in form and substance satisfactory to the Agents, acting reasonably, with the Securities Commissions in the Qualifying Jurisdictions under the Canadian Securities Laws pursuant to the Passport System and NP 11-202 and shall designate the Province of Ontario as the designated and principal jurisdiction thereunder, together with the required supporting documents; and (ii) following receipt of the Preliminary Receipt, the Corporation shall use commercially reasonable efforts to promptly resolve all comments received and deficiencies raised by the Securities Commissions.

The Corporation covenants with the Agents Agent that: (i) the Corporation shall use commercially reasonable its best efforts to file the Preliminary Qualification Prospectus, in form and substance satisfactory to the AgentsAgent, acting reasonably, with the Securities Commissions in the Qualifying Jurisdictions under the Canadian Securities Laws pursuant to the Passport System and NP 11-202 and shall designate the Province of Ontario as the designated and principal jurisdiction thereunder, together with the required supporting documents; and (ii) following receipt of the Preliminary Receipt, the Corporation shall use commercially reasonable its best efforts to promptly resolve all comments received and deficiencies raised by the Securities Commissions.
